Bylaws

 

Article I Name

 

The non-profit entity supporting all youth athletics in the city of Union City shall be called the Union City Youth Athletic Alliance, hereinafter referred to as the UCYAA or Alliance.

 

Article II                Purpose

2.01    To support and maintain youth athletic programs, both recreational and competitive, assuring good sportsmanship, fair play and setting the highest standards possible for youth athletics.

 

2.02    To assure the highest quality leagues, facilities and athletic programs for the city of Union City.

 

2.03    To assure that youth, through participation, are taught the fundamentals and principles of sports.

 

2.04    To assure that all youth leagues consider first and foremost the health, welfare and ability of each participant.

 

2.05    To raise and maintain funds for the purpose of assisting leagues, improvements to facilities above what the city has committed, and for public relations of the alliance.

 

Article III               Membership

3.01    Membership in the alliance shall include all youth athletic leagues within the city of Union City.

 

3.02    Any athletic league not initially brought into the alliance, may petition the Board of Directors for membership.

 

3.03    Each member league shall be entitled to one representative and one vote on the Board of Directors.

 

Article IV               Board of Directors

4.01    The UCYAA Board of Directors shall consist of one representative from each sanctioned youth athletic league, a member of the Parks and Conservation Board of the City of Union City, a member of the city council of Union City, and the Director of Turf Management and Facility Operations.

 

4.02    Terms: A) Each member appointed by a sanctioned league shall serve a 12 month period from January 1 to December 31.  B) The Parks and Conservation Board member shall serve a two year term from Jan 1 to December 31consecutively.  C) The city council representative shall serve at the pleasure of the City Council.  D)  The Director of Turf Management and Facility Operations shall serve throughout his tenure with the city of Union City.

 

4.03    Vacancies: A) All sanctioned leagues shall immediately fill vacancies to the Board of Directors. B) The Parks and Conservation Board shall immediately fill vacancies, whenever the position is vacated prior to the end of the term. C) In the event of a city council member vacancy, a new member shall be appointed by the city council.  D) A vacancy to the director position shall not be filled, until such time as the city has hired a new director, or placed an interim director in the position.

 

4.04    The business of the organization shall be conducted by the Board of Directors, by the authority conferred within these bylaws.

 

4.05    Meetings: All business of the Board of Directors shall be conducted in a scheduled or special meeting.  Regular meetings shall take place monthly.  Special meetings may be called by any board member with five (5) days notice given to all board members.  This notice shall give place, day and hour of the special meeting.

 

4.06    Quorum: The number of board members who shall be present at any meeting in order to constitute a quorum shall be a simple majority of all board members, thus a simple majority must be present to conduct the business of the UCYAA.

 

4.07    Any member of the Board of Directors missing three or more consecutive meetings shall be immediately replaced by the league or board which he/she represents.

 

Article V                Officers and Board Duties

5.01    The Director of Turf Management and Facility Operations, the Parks and Conservation Board representative and the City Council representative shall constitute the executive members of the Board of Directors.  The Chairman and Secretary of the Board of Directors shall be selected from the executive members.

 

5.02    The Chairman shall preside at all meetings of the UCYAA, and shall have the general charge of all business transacted.

 

5.03    The Secretary shall maintain all minutes of the meetings.

 

5.04    An accounting firm shall be engaged to maintain all funds of the organization, with all usage of funds dispersed solely by a vote of the Board of Directors.

 

5.05    The Board of Directors may disperse funds solely for the assistance of member leagues, facility improvements and for the public relations of the alliance.

 

5.06    The Board of Directors shall also review, approve or deny all policies of member leagues not covered by the City policy.

 

Article VI               Voting

6.01    The number of votes for general business to be conducted shall be a simple majority of all board members present at a meeting.

 

6.02    Any proposal to change or amend the bylaws of the UCYAA must be presented and read at a regular or special meeting of the Board of Directors, and then presented in writing to each board member  prior to vote at the next regular or special meeting of the board.  Any amendment to these bylaws shall require the affirmative vote of two-thirds of the entire Board.

 

Article VII              Finances

7.01     Checks, Drafts, etc.: All checks, drafts and order for payment shall be cosigned by two members of the Board of Directors.

 

7.02     All fiscal management of the organization shall be conducted by an outside accounting firm as engaged by the Board of Directors.

 

7.03     All member leagues shall pay a $100 per  year membership fee to the UCYAA.

 

7.04     All fundraising for the member leagues shall be done by the UCYAA, outside of general league fees, sponsorship signs and team sponsors. No league shall have a fundraiser independent of the alliance.

 

7.05     A complete schedule of revenues, expenses, and fund balances shall be submitted by each member league to the Board of Directors no later than thirty (30) days following the end of the athletic season.

 

7.06     The fiscal operating year of the UCYAA shall be January 1 through December 31, at which the member leagues shall be provided a complete schedule of the alliance’s revenues, expenses, and fund balances.

 

7.07     Any revenues of the UCYAA shall be used only for the advancement of leagues, facility improvements, for public relations regarding the alliance, or accounting and other necessary services and expenses.

 

Article VIII            Operations

8.01    The UCYAA shall assist each league with registration for all youth programs.

 

8.02    The UCYAA shall conduct two spring registrations and two fall registrations in conjunction with its member leagues.

 

8.03    The UCYAA will conduct training for coaches and require a certification program for each coach, league officials and game officials within its member leagues.

 

8.04    The UCYAA will govern the general activity of its member leagues in relation to policies, procedures promotion of sportsmanship and fair play at all times.

 

8.05    The UCYAA may overturn league policies and procedures of member leagues that are not in the best interest of the league participants.

 

Article IX               Meeting Procedure

9.01    “Roberts Rules of Order” shall be the procedure on all matters for the proper conduct and order of business at all meetings.

 

9.02    Agenda:  The agenda for all meetings of the UCYAA, unless otherwise stated prior to the meeting shall be as follows:
